The proposed Private Company must have at least one director who is ordinarily resides in Malaysia by having a principal place of residence in Malaysia, and at least one shareholder with minimum issued and paid up capital of RM1/-.

Every Private Company incorporated in Malaysia must appoint a Company Secretary within 30 days from incorporation. Failure to do so would entail penalty from Companies Commission of Malaysia.

The Company Secretary is the person who will be the communication tool between the Private Company and SSM.
